Terms and Conditions
	By signing up as an affiliate with Interactive Gambit LLC, you agree to the following Terms of Service. This agreement is by and between Interactive Gambit LLC and/or their assigns and all subscribers. Unless the context requires otherwise, Interactive Gambit LLC and/or their assigns shall be referred to as "us, we, or our" and you shall be referred to as "you, your or subscriber. You understand that Interactive Gambit LLC and/or their assigns does not guarantee or predict any type of profit or response from said services. Subscriber agrees to hold Interactive Gambit LLC harmless from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, joint or several, of whatever kind or nature which Interactive Gambit LLC and/or their assigns may become subject arising out of or relating in any way to the use of the services provided under this agreement, including, without limitation, in each case attorneys' fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities. A. Services to be Provided. We agree to pay you certain commissions as described on our website for referral sales made by customers. All affiliate commissions are subject to a payout threshold as per http://www.mass-automation.com/specials/index.php In addition to conditions described on our website, the following terms apply: - There is no affiliate commission on purchase made directly or indirectly by affiliate himself/herself, including but not limited to cases where family name of client and affiliate are identical or when we have solid reasons to believe that affiliate and client are the same person. - There is no affiliate commission on purchase made directly or indirectly by another affiliate. - There is no affiliate commission on purchase made by a client who contacted us prior to completing the purchase and/or received a special, volume-based discount. - There is no affiliate commission on sale which are not paid by client and/or when initial payment was declined, including but no limited to test sales, product exchanges, etc... - There is no affiliate commission on sale when client has not downloaded the purchase products or when clients didn't specify their name or their full address. - There is no affiliate commission on sale made to existing customers. - There is no affiliate commission on sale whenever client has requested a refund and/or a charge back or such refund has been requested on behalf of client. This is the case even if in the end there was no such refund, due for instance to support desk effort and/or if client merely hinted at a refund or threatened to make a refund. In such cases all sales made by such client will be excluded from affiliate commissions. - There is no affiliate commission if ticket(s) opened by client on support desk contain 4 posts or more and/or if client sent us 4 emails or more, indicating that support desk needed to spend an unusual amount of time handling client's requests. - There is no affiliate commissions on sales made to clients who breached our license agreement. - There is no affiliate commission when, for some reason sales recorded in the affiliate reporting is different from the amount paid by client or whenever an invoice is not paid same day it was created. - Affiliate commissions which are left outstanding because affiliate's commissions total remains below the payout threshold are automatically canceled six (6) months as from the date of the corresponding purchase by client. - Affiliate commissions are payable on the 30th of the month after counting a 30-day period taking into account our 30-day refund policy during which client may request a refund. B. Termination. You may terminate your account at anytime. Any outstanding payments will be subject to the predetermined payout rules and schedule. We may terminate your account and/or withhold any pending commission: (a) if you violate our Terms Of Service Policy; (b) if promote Interactive Gambit LLC in a manner that is illegal, unethical or inappropriate; (c) if you use your account and/or another affiliate's account for the purpose of obtaining a discount for your purchases and/or generate undue commissions; (d) attempt to circumvent our Terms of Service Policy, (e) if you account has been lacking a valid email address for more than one (1) month, (e) if you registered and are using similar domain names than ours, (f) if we sell our websites or discontinue our affiliate program, or (g) for any reason, in our sole discretion. C. No Warranties. WE MAKE NO WARRANTIES TO YOU OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICE Interactive Gambit LLC, ITS SUBCONTRACTORS AND AFFILIATES PROVIDE YOU. WE EXPRESSLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THIS SERVICE FOR A PARTICULAR PURPOSE. We shall not be liable for any damages suffered by you, whether indirect, special, incidental, exemplary, or consequential, including, by not limited to, loss of data or service interruptions, regardless of cause or fault. We are not responsible for your lost profits or for your loss of data or information. If notwithstanding this clause we are held liable to you. D. TERMS. As a affiliate, you agree: (1) to promote and represent our products and services in a manner that is ethical and in conformity with community standards; You are not allowed to promote our products or services using SPAM techniques such as E-mail SPAM, Comment SPAM, Bulletin Board SPAM or any other means of un-solicited advertising; (2) to respect the privacy of other users (you shall not intentionally seek data or passwords belonging to other users, nor will you modify files or represent yourself as another user unless explicitly authorized to do so by that user); (3) to respect the legal protection provided by copyright law, trade secret law, or other laws protecting intellectual property. (4) To only publish on your website your own original content or use third party's content after requesting and obtaining their prior written authorization. (5) not to use your affiliate account for the purpose of obtaining a price discount for your own purchases. (6) to promote and represent our products and services on the website whose url your specified in your affiliate account. You are not allowed to promote our products or services on other websites without informing us. You are not allowed to redirect visitors from the url your specified in your affiliate account to another url. (7) not to register Internet domain names which are similar to ours and/or give your website the 'look and feel' of our websites, including but not limited to using our logo or making a copy of our website, for the purpose of depriving us from 'natural traffic' by leading visitors and search engines to believe that you are our website whereas you are an affiliate website. Furthermore, you agree NOT to promote any of our products and/or links together with: (i) any material that violates any applicable laws, including without limitation the laws of the United States, the laws of any state or commonwealth within the United States, and the laws of any other jurisdiction that may apply; (ii) any material that restricts or inhibits any other user from using and enjoying the Internet; (iii) any material that is considered as SPAM, 'black hat' tactics or contrary to the Internet 'code of conduct'; (iv) any material that is unlawful, threatening, abusive, harassing, defamatory, obscene, offensive, harmful, obnoxious, pornographic, profane, sectarian, or indecent, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law or regulation; (v) any material that contains viruses or any other element or component that has a capacity or potential to interrupt, destroy, interfere with, permit the unauthorized use of, or limit the functionality of any computer software or hardware, any telecommunications equipment, or any communications network; (vi) any material that violates or infringes the rights of others, including without limitation rights under copyright, trademark, or patent law; rights of privacy or publicity; rights under defamation law; or rights under securities or other applicable law. (vii) any third party material without prior written authorization to do so. If we learn of a violation or likely violation of our TERMS OF SERVICE, we may or not attempt to notify you. If you do not take immediate remedial action which is satisfactory to us in our sole discretion, OR in the event of a serious violation of the TERMS OF SERVICE, we reserve the right to terminate your account immediately and withhold all pending commission. If we feel, you are using your affiliate account for the purpose of depriving us from traffic or generating undue commissions, we are entitled to block your commissions without any notice. No affiliate commission is payable to affiliates who are breaching our terms and conditions. The fact that we we didn't notice, didn't realize the full extent of and/or tolerate for a certain time a violation of our TERMS OF SERVICE cannot be construed as an approval of the aforementioned violation. YOUR SERVICE WILL BE TERMINATED IMMEDIATELY AND WITHOUT WARNING SHOULD YOU USE OUR SYSTEM AS PART OF ANY BULK EMAIL OR ANY SPAM CAMPAIGN, SHOULD YOU PROMOTE ANY OF OUR PRODUCTS IN ANY UNAUTHORIZED METHODS AS DESCRIBED HEREIN AND/OR SHOULD YOU ATTEMPT TO CIRCUMVENT THIS AGREEMENT. ALL PENDING COMMISSIONS WILL BE CANCELED. You may also be subject to fines and legal actions as a result of your illegal promotion. E. Assignment. This agreement is personal to you. You may not assign your rights under this agreement without our prior written consent. If you do assign your rights, as would be the case were someone other than you to use your account, you shall remain liable to us for any fees due under this agreement. We may assign this agreement at any time. F. Change of Terms and Conditions. We reserve the right to change the terms and conditions of this agreement as needed. Use of our servers by you after said changes constitutes acceptance of those new terms and conditions. Changes will apply to all outstanding commissions as of the date when such changes were made. If you does not agree to the new terms and conditions, you may terminate this agreement in accordance with Section B. It is your responsibility to ensure that you read latest version of the TERMS OF SERVICES as published on our website. G. Notification of Account Changes. You agree to provide us with such other information relating to your use of this service as we deem necessary or desirable. You agree to notify us if your address, email address, telephone number, billing information changes. H. Notices. All notices, requests, demands, and other communications under this agreement shall be in writing and shall be deemed to have been given on the date of delivery: if delivered personally to the party to whom notice is to be given; if sent by electronic mail with a cc to sender; if sent by fax; or on the third day after mailing by first class mail. All notices or questions raised by Affiliates should be made via our support desk by opening a ticket. I. General Provisions. The subject headings of the articles and sections are for convenience only, and shall not affect the construction or interpretation of any of its provisions. If any portion of this agreement is found invalid or unenforceable, that portion shall be severed and the remainder of this agreement shall remain in force. This agreement constitutes the entire agreement between us pertaining to its subject matter and supersedes all of our prior agreements, representations, and understandings. Subject to Section I, no supplement, modification, or amendment of this agreement shall be binding unless executed in writing by both parties. No waiver of any of the provisions of this agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. This agreement may be executed in one or more counterparts. Each shall be deemed an original, but all of which together shall constitute one and the same instrument. If an organization is the subscriber, the individual signing up for our services represents that he or she is duly authorized to enter into this agreement on behalf of that organization. In the event of a dispute, the parties agree to submit the matter to the Community Dispute Resolution Service or any recognized Arbitration Board located within our state and county, before instituting litigation.
